These Terms of Service ("Terms") govern your access to and use of BildViz and all related services, features, and content (collectively, the "Service"). References to "BildViz," "we," "us," or "our" mean BildViz and its owners, affiliates, successors, and assigns. By creating an account or using the Service in any manner, you ("User" or "you") agree to be bound by these Terms in their entirety. If you do not agree, you must not access or use the Service.
BildViz is a proposal and quoting platform for remodeling, landscaping, and home transformation contractors. The Service enables contractors to create structured proposals, build scopes of work, price projects, generate AI-assisted wording, produce conceptual visual previews, present professional proposal pages to their homeowner clients ("End Clients"), and optionally collect deposit payments from End Clients via a third-party payment facilitation feature.
BildViz is a sales enablement and workflow tool. It is not a payment processor, bank, money services business, project management platform, accounting system, legal advisor, or architectural engineering firm. Nothing in the Service constitutes professional advice of any kind. Users are solely responsible for the professional accuracy and lawfulness of all proposals and representations made to End Clients.
To access the Service, you must create an account using a valid email address. You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of that information throughout your use of the Service.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorized access to your account, you must notify us promptly through the contact form available on our website.
BildViz reserves the right to reject any registration or suspend or terminate any account at its sole discretion, including but not limited to cases involving duplicate accounts, fraudulent or inaccurate information, or abuse of the platform.
BildViz offers the following subscription tiers governing your access to the Service. These fees are billed by BildViz to you as the contractor and are entirely separate from any payments collected from End Clients through the optional payment facilitation feature described in Section 4.
Subscriptions are billed on a monthly basis beginning on the date of initial enrollment. All fees are denominated in United States dollars and are exclusive of any applicable taxes, which are your sole responsibility.
You may cancel your subscription at any time. Cancellation takes effect at the end of the then-current billing period. BildViz does not provide prorated refunds for any partial billing period. Unused proposal allocations expire at the end of each billing period and do not carry forward.
BildViz reserves the right to modify subscription pricing upon 30 days' prior written notice. Your continued use of the Service following the effective date of a price change constitutes acceptance of the revised pricing. Platform subscription billing is administered by Stripe, Inc.
BildViz offers an optional feature ("Payment Feature") that enables contractors to collect deposit payments from End Clients directly through the proposal page. The following terms govern your use of the Payment Feature and are in addition to, not in lieu of, the other provisions of these Terms.
4.1 Platform as Facilitator Only. The Payment Feature is powered by Stripe Connect, a payment infrastructure service operated by Stripe, Inc. BildViz acts solely as a technology platform that connects your Stripe account to the payment interface presented to End Clients. BildViz is not a payment processor, acquiring bank, card issuer, money transmitter, or financial institution. BildViz does not hold, control, or have custody of any End Client funds at any point in a transaction.
4.2 Contractor as Merchant of Record. When you enable the Payment Feature, you are the merchant of record for all charges to End Clients. All payments flow directly from the End Client to your connected Stripe account, less any applicable platform fees. You bear sole responsibility for all matters related to the transaction, including but not limited to: the provision and quality of services, applicable consumer protection obligations, refund and cancellation policies, and any disputes with End Clients arising from a transaction.
4.3 No BildViz Liability for Transactions. BildViz is not a party to the financial transaction between you and your End Client. BildViz makes no guarantee regarding the collectability of payments, the creditworthiness of End Clients, or the outcome of any payment dispute. The logging of payment events within the Service is a convenience feature only and does not constitute evidence of service delivery, nor a representation by BildViz regarding the enforceability of any payment obligation.
4.4 Stripe Connected Account Agreement. To use the Payment Feature, you must connect a Stripe account and agree to Stripe's Connected Account Agreement and Stripe's Privacy Policy, available at stripe.com. You are solely responsible for your compliance with Stripe's terms, applicable card network rules, and any financial regulations applicable to your business. BildViz reserves the right to disable the Payment Feature for any account at its sole discretion without liability.
4.5 Platform Application Fee. BildViz collects a platform application fee on each transaction processed through the Payment Feature. The current fee percentage is disclosed within the Service at the time of Stripe account connection and is subject to change upon notice. The platform fee is non-refundable even if a transaction is subsequently disputed, refunded, or charged back.
4.6 Disputes, Chargebacks, and Refunds. All payment disputes, chargeback claims, and refund requests arising from transactions between you and an End Client are solely your responsibility to manage and resolve. BildViz will not intervene in, adjudicate, or bear any financial liability for such disputes. You are solely responsible for maintaining sufficient funds in your Stripe account to cover chargebacks, refunds, and all associated fees imposed by Stripe or card networks. In the event Stripe debits BildViz's platform account for any amounts related to your transactions, you agree to reimburse BildViz for the full amount within thirty (30) days of notice.
4.7 3D Secure Authentication. The Service enforces 3D Secure (3DS) authentication on all card transactions processed through the Payment Feature wherever technically supported. While 3DS significantly reduces the risk of unauthorized charge attempts, BildViz makes no warranty that enforcement of 3DS will prevent all fraudulent transactions or eliminate chargeback exposure. You acknowledge and accept the residual risks inherent in card-not-present payment environments.
4.8 Tax and Regulatory Compliance. You are solely responsible for determining, collecting, reporting, and remitting any applicable sales, use, excise, or transactional taxes on amounts charged to End Clients. Any tax classification or guidance tools provided within the Service are informational only and do not constitute legal, tax, or accounting advice. You should consult a qualified tax professional or your state's Department of Revenue for guidance specific to your jurisdiction, license status, and project type.
The Service incorporates artificial intelligence to assist with scope drafting, proposal wording, and the generation of conceptual visual previews. By using these features, you acknowledge and agree to the following:
You retain all ownership rights in and to the content you upload or create through the Service, including project photographs, scope descriptions, pricing data, and proposal documents ("Your Content").
By uploading or submitting Your Content to the Service, you grant BildViz a limited, non-exclusive, worldwide, royalty-free license to store, process, reproduce, display, and transmit Your Content solely to the extent necessary to provide the Service to you. This license terminates upon deletion of Your Content or closure of your account.
You represent and warrant that (a) you hold all rights necessary to upload and use Your Content in connection with the Service, and (b) Your Content does not and will not infringe any intellectual property right, privacy right, or other right of any third party.
The Service itself — including its software, interfaces, design, trademarks, trade names, and all content created by or on behalf of BildViz — is and shall remain the exclusive property of BildViz and its owners. You acquire no ownership interest in the Service by virtue of these Terms or your use thereof. You may not copy, modify, distribute, sublicense, or reverse-engineer any portion of the Service.
Proposals generated through the Service are delivered to End Clients via shareable web links. You are solely responsible for the content, accuracy, completeness, and legal compliance of every proposal you transmit to an End Client.
BildViz is not a party to any agreement, contract, or understanding between you and your End Clients. Any scope of work, commitment, contract, or payment obligation formed between you and an End Client is exclusively between those parties. You — not BildViz — are the contracting party, service provider, and where applicable, the merchant of record (see Section 4). BildViz and its owners, affiliates, successors, and assigns bear no liability for disputes, non-payment, defective workmanship, personal injury, property damage, payment fraud, or any other matter arising from your relationship with your End Clients.
Client actions recorded through the platform — including proposal approvals, rejections, revision requests, and deposit payments — are logged as a convenience feature only. Proposal approvals do not constitute legally binding electronic signatures and should not be relied upon as such unless you independently comply with all applicable federal and state electronic signature laws (including, without limitation, the Electronic Signatures in Global and National Commerce Act). Deposit payment records do not constitute proof of service delivery or fulfillment.
BildViz's collection and use of personal information is governed by its Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.
To the extent you enter personal data belonging to your End Clients into the Service — including names, addresses, phone numbers, and email addresses — you represent that you have obtained all necessary consents and authorizations required by applicable law, including applicable consumer privacy statutes.
Project photographs, documents, and AI-generated assets are stored using Firebase Cloud Storage. You may delete your content at any time through the Service. Following account termination, BildViz will delete your stored data within 90 days, except to the extent retention is required by applicable law or legitimate business necessity.
BildViz does not store payment card numbers, bank account details, or cardholder data. All payment card data is transmitted directly to and processed by Stripe, Inc. pursuant to Stripe's own security standards and privacy policy.
You agree not to use the Service in any manner that:
Team-tier subscriptions permit a designated team leader to grant access to additional users ("Team Members"). The team leader is solely responsible for all activity conducted by Team Members under the team account and for ensuring that all Team Members comply with these Terms.
The team leader may assign permission levels to Team Members and may remove Team Members at any time. BildViz is not responsible for any disputes arising between a team leader and any Team Member.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BILDVIZ AND ITS OWNERS, AFFILIATES, SUCCESSORS, AND ASSIGNS DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE INFRASTRUCTURE THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL ELEMENTS. BILDVIZ MAKES NO WARRANTY REGARDING THE OUTCOME OF ANY PAYMENT TRANSACTION, THE CREDITWORTHINESS OF ANY END CLIENT, OR THE PREVENTION OF FRAUDULENT TRANSACTIONS.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BILDVIZ OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BILDVIZ OR ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, SUCCESSORS, ASSIGNS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PAYMENT FRAUD, CHARGEBACK LOSSES, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF BILDVIZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, BILDVIZ SHALL HAVE NO LIABILITY ARISING FROM OR RELATED TO (A) ANY FINANCIAL TRANSACTION BETWEEN YOU AND AN END CLIENT, (B) ANY PAYMENT DISPUTE, CHARGEBACK, OR REFUND CLAIM, (C) YOUR FAILURE TO DELIVER CONTRACTED SERVICES, OR (D) ANY ACT OR OMISSION OF STRIPE, INC. OR ANY OTHER THIRD-PARTY PAYMENT INFRASTRUCTURE PROVIDER.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF BILDVIZ AND ITS OWNERS, AFFILIATES, SUCCESSORS, AND ASSIGNS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL PLATFORM SUBSCRIPTION FEES PAID BY YOU TO BILDVIZ IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00). THIS CAP DOES NOT APPLY TO YOUR OBLIGATION TO REIMBURSE BILDVIZ FOR CHARGEBACK-RELATED AMOUNTS UNDER SECTION 4.6.
You agree to indemnify, defend, and hold harmless BildViz and its owners, affiliates, officers, directors, employees, successors, assigns, and agents (collectively, the "Indemnified Parties") from and against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way relating to: (a) your access to or use of the Service; (b) Your Content; (c) your violation of any provision of these Terms; (d) your violation of any applicable law or regulation; (e) your interactions with or obligations to End Clients; or (f) any payment transaction processed through the Payment Feature, including any chargeback, dispute, refund, tax liability, or regulatory claim arising therefrom.
You may terminate your account at any time by canceling your subscription and submitting a termination request through the contact form on our website.
BildViz reserves the right to suspend or terminate your access to the Service immediately and without prior notice for any violation of these Terms, any fraudulent or abusive conduct, or for any other reason in BildViz's sole and absolute discretion. Upon any termination, your right to access or use the Service ceases immediately. Termination does not release you from any outstanding payment obligations to BildViz, including reimbursement obligations under Section 4.6.
The provisions of Sections 4.2, 4.3, 4.5, 4.6, 6, 7, 11, 12, 13, and 16 shall survive any termination or expiration of these Terms.
BildViz reserves the right to modify, suspend, or discontinue the Service or any feature thereof at any time, with or without notice, and without liability to you or any third party.
BildViz may revise these Terms at any time. If a revision is material, we will provide notice by email to the address associated with your account or by posting a prominent notice within the Service. Your continued use of the Service after the effective date of any revised Terms constitutes your binding acceptance of those changes.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any conflict of law principles that would require the application of the laws of another jurisdiction.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive personal jurisdiction of the state and federal courts of competent jurisdiction located in the State of Delaware. You irrevocably consent to such jurisdiction and waive any objection to venue in such courts.
Prior to initiating any legal proceeding, you agree to contact BildViz through the contact form on our website and make a good-faith effort to resolve the matter informally within thirty (30) days of submission. This requirement does not apply to claims for injunctive or other equitable relief.
These Terms, together with any policies incorporated herein by reference, constitute the entire agreement between you and BildViz with respect to the Service and supersede all prior and contemporaneous agreements, representations, and understandings. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. BildViz's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer these Terms, by operation of law or otherwise, without BildViz's prior written consent. BildViz may freely assign these Terms without restriction. No joint venture, partnership, employment, or agency relationship exists between you and BildViz as a result of these Terms or your use of the Service.
